Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and COMPENI (“COMPENI”, “we”, “us”) and govern your access to and use of the COMPENI platform, websites and related services (together, the “Service”).

By creating an account, accessing or using the Service, you confirm that you have read, understood and accept these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

If you do not agree with these Terms, you must not use the Service.

“Organisation” (or “Client”) means a company or entity that creates a workspace to build a private expert network for its members.

“User” means any individual who accesses the Service, including an Organisation's administrators (HR/managers) and its invited members.

“Expert” means an independent coach, mentor or trainer who creates a profile and offers sessions once verified by COMPENI.

“Content” means any information, text, profile data, documents or materials submitted to the Service.

COMPENI provides a private, invitation-based corporate expert network. It enables Organisations to curate a network of verified Experts and lets their members request and book coaching, mentoring or training sessions on demand.

COMPENI is not a public marketplace and does not process payments. Learning-and-development budgets are tracked internally for the Organisation's own management and do not constitute a payment or escrow service operated by COMPENI.

COMPENI facilitates the connection between Organisations, their members and Experts but is not a party to, and is not responsible for, the professional advice or services delivered during a session.

You must be at least 18 years old and able to enter into a binding contract to use the Service.

You agree to provide accurate, current and complete information and to keep it up to date. Member accounts are created by invitation from an Organisation; Expert accounts are subject to review and verification by COMPENI.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Please notify us promptly of any unauthorised use.

Experts act as independent professionals. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between COMPENI and an Expert.

Experts are solely responsible for the accuracy of their profile, the lawfulness and quality of the services they provide, their tax and social-security obligations, and compliance with any professional rules applicable to them.

Experts undertake to keep their availability up to date, to honour confirmed sessions, and to communicate any cancellation or rescheduling as early as reasonably possible.

The Organisation is responsible for managing its workspace, curating its expert network, inviting members, approving learning goals and setting any internal budgets.

In respect of the personal data of its members processed through the Service, the Organisation acts as data controller and COMPENI acts as data processor, as further described in our Privacy Policy and any applicable Data Processing Agreement.

The Organisation is responsible for ensuring that its members' use of the Service complies with these Terms and with its internal policies.

You agree not to: use the Service for any unlawful, fraudulent or harmful purpose; upload content that is illegal, defamatory, discriminatory, infringing or that violates the rights of others; attempt to gain unauthorised access to the Service or to other users' accounts; interfere with or disrupt the integrity or performance of the Service; scrape, copy or resell the Service or its data; or use the Service to build a competing product.

We may remove content or suspend accounts that, in our reasonable judgement, breach these rules.

Sessions are requested by members and accepted at the Expert's discretion. A confirmed session may include an online meeting link generated through a third-party provider (for example Google Meet, Microsoft Teams or Jitsi).

COMPENI does not attend, record or supervise sessions and gives no warranty as to their outcome. Any relationship, advice or commitment arising from a session is between the member, the Organisation and the Expert.

The Service, including its software, design, trademarks and the content provided by COMPENI, is owned by COMPENI or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms.

You retain ownership of the Content you submit. You grant COMPENI a worldwide, non-exclusive, royalty-free licence to host, store, display and process that Content solely to operate and provide the Service.

The Service integrates with third-party services (for example calendar providers, video-meeting providers and email delivery). Your use of those services may be subject to their own terms and privacy policies. COMPENI is not responsible for third-party services and does not control their availability.

We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and our Privacy Policy, which forms an integral part of these Terms. Please read it to understand how we handle personal data and the rights you can exercise.

We aim to keep the Service available and secure but do not guarantee that it will be uninterrupted, error-free or free of harmful components. The Service may be temporarily unavailable for maintenance, updates or reasons beyond our control.

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. This does not exclude any statutory rights that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, COMPENI shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, data, goodwill or business opportunities, arising out of or in connection with your use of the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded or limited under applicable law. Mandatory consumer-protection rights under EU and national law remain unaffected.

You may stop using the Service and close your account at any time. Account deletion and data-erasure rights are described in the Privacy Policy and can be exercised from the Privacy & data centre.

We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination (including intellectual property, liability and governing law) will continue to apply.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated version with a new version date or by notifying you within the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the European Union and of the member state in which COMPENI is established, without prejudice to any mandatory consumer-protection provisions of your country of residence.

The parties will seek to resolve any dispute amicably. Where a dispute cannot be resolved, it will be subject to the jurisdiction of the competent courts, without prejudice to your right to bring proceedings before the courts of your place of residence where the law so provides.
